This agreement is signed on _______________ between SHYLO QUIK WELLNESS PVT LTD, a Direct Selling Entity Registered office at Purbasha, Keshavnagar, Near Passport Office, Berhampore, West Bengal, IN. PIN-742102 (acting through its Part hereinafter called Direct Selling Entity which expression shall, unless repugnant to the context, include its successors in business, administrators, liquidators and assigns or legal representatives) of the FIRST PARTY AND Shri/Smt. ______ aged years S/o D/o W/o ____ house post __________street __________area __________ District __________State __________pin ____ (hereinafter called as Direct Seller which expression shall include my/our heirs, executors and administrators estates assigns and effects wherein the context so admits or requires) of the second party.
The Company hereby appoints the independent distributor to market, promote, and sell the Company’s products ("Products") in accordance with the terms and conditions set forth in this Agreement.
The distributor agrees to:
Promote and sell the Products diligently and in accordance with Company policies.
Adhere to ethical business practices and represent the Company professionally.
Participate in Company-provided training and comply with all applicable laws and regulations.
The Company agrees to provide:
Access to training materials, sales tools, and product information.
Support and guidance to help the distributor succeed in their role.
The distributor shall earn commissions based on sales made and bonuses for achieving sales targets as outlined in the Company’s compensation plan. Commissions are payable according to the Company’s payment schedule.
This Agreement shall commence on [Effective Date] and continue until terminated by either party with 30 days’ notice. Either party may terminate this Agreement for cause or convenience.
The distributor agrees to maintain the confidentiality of Company information and respect its intellectual property rights, including trademarks and trade secrets.
This Agreement shall be governed by the laws of India. Any disputes shall be resolved through mediation in [Berhampore, West Bengal/India], and if unresolved, through binding arbitration.
That If at any time, during the continuance of this agreement, the performance in whole or in part, by the Direct Selling Entity, of any obligation under this is prevented or delayed, by reason of war, or hostility, acts of the public enemy, civic commotion, sabotage, Act of State or direction from Statutory Authority, explosion, epidemic, quarantine restriction, strikes and lockouts, fire, floods, natural calamities/Disaster or any act of God (hereinafter referred to as event), neither party shall, by reason of such event, be entitled to terminate the agreement, nor shall either party have any such claims for damages against the other, in respect of such non-performance or delay in performance. Provided Service under the agreement shall be resumed as soon as practicable, after such event comes to an end or ceases to exist.
This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.
